Civitas Learning Student Impact Platform Specifications

The Services provided pursuant to any Order Form between the Parties shall be delivered in accordance with the specifications set forth below. Any customizations to the standard Services detailed below shall be listed in the Order Form. By signing the Order Form, Customer agrees and acknowledges the specifications set forth herein encompass any and all requirements for Customer’s purchase of the Services and specifically authorizes Civitas to deliver all of the requirements set forth herein including use of any Customer branding within the Services. No other agreements either written or oral have been made regarding the delivery of the Services subject to the Order Form to which this Exhibit is attached. Customer further acknowledges that delivery of the Services and any estimated timelines provided by Civitas are subject to Customer’s timely responses to Civitas communications as well as fulfillment of requests made by Company within the time frames provided by Civitas. Failure to respond promptly to Civitas communications or requests may result in implementation delays, loss of implementation slot, or cancellation of the Order Form all of which shall be at Civitas’ sole discretion and subject to the termination provisions of the MSA. Customer further agrees and acknowledges that delivery of the Services shall be accomplished by providing access to the Civitas Learning Platform and is not contingent upon any configurations of the Services set forth below. Customer may, at its option, choose to configure any of the provided Services at any time during the term of the Order Form by providing Civitas with written notice of such intention. Timeline for configurations shall be subject to the availability of Civitas personnel and resources.
